Terms and Conditions for Klippio

These Terms of Service ("Terms") are a legal agreement between you and Klippio ("Klippio", "we", "us", or "our") regarding your use of our website, applications, and related services at klippio.com (collectively, the "Services").

By creating an account, clicking to accept these Terms, or using the Services, you agree to be bound by these Terms and our Privacy Policy.

1. Eligibility and Account

1.1 You must be at least 18 years old (or the age of legal majority in your jurisdiction) and able to form a binding contract.
1.2 You are responsible for all activity under your account and for keeping your login credentials secure.
1.3 You must provide accurate account information and keep it updated.
1.4 We may suspend or terminate accounts that violate these Terms or create risk for users, third parties, or Klippio.

2. What Klippio Provides

2.1 Klippio is an AI-powered short-form video creation platform. Depending on plan and feature availability, the Services may include script generation, video generation, voice/audio generation, subtitles, export processing, and caption generation.
2.2 Service features, model availability, output quality, pricing, and limits may change over time.
2.3 We may add, remove, or modify features to improve performance, safety, or compliance.

3. Subscriptions, Credits, and Payments

3.1 Paid access may be offered through recurring subscriptions and one-time credit purchases.
3.2 Subscription plans renew automatically until canceled. You can manage or cancel your subscription through your billing portal.
3.3 Credits are consumed when you use paid generation features. If a feature has a stated credit cost, use of that feature authorizes the corresponding credit deduction.
3.4 Unless otherwise required by law or explicitly stated at checkout, fees are non-refundable.
3.5 Current refund policy: you may request a refund within 7 days of purchase if you have not used more than 100 credits. Abuse, fraud, chargeback misuse, or repeated refund patterns may result in denial.
3.6 We use third-party payment processors (including Stripe). We do not store full payment card data on our own servers.
3.7 You are responsible for applicable taxes, duties, and governmental charges.

4. Acceptable Use

You agree not to, and not to help others:
- violate any applicable law, regulation, or third-party right;
- submit or generate content that is unlawful, defamatory, fraudulent, harassing, exploitative, or infringing;
- upload malware, attempt unauthorized access, disrupt systems, scrape at abusive volumes, or bypass security/rate limits;
- reverse engineer, copy, resell, sublicense, or commercially exploit the Services except as explicitly permitted;
- use the Services to train or improve competing foundation models without our written permission;
- misrepresent generated content in a deceptive way, including impersonation or misinformation campaigns.

5. Your Content and AI Outputs

5.1 "Input" means prompts, scripts, media uploads, and other material you provide. "Output" means content generated by the Services from your Input.
5.2 As between you and Klippio, and subject to your compliance with these Terms, you retain ownership of your Input and receive rights to use Output generated for your account.
5.3 You represent that you have all rights needed for your Input and your use of Output.
5.4 Because generative AI is probabilistic, Output may be similar to content provided to other users and may not be unique.
5.5 We may use automated systems to detect abuse, policy violations, or security threats.

6. Intellectual Property

6.1 The Services (including software, branding, design, and underlying technology) are owned by Klippio and licensors and are protected by intellectual property laws.
6.2 These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business or personal content creation purposes.
6.3 No rights are granted except those expressly stated in these Terms.

7. Third-Party Services

7.1 The Services rely on third-party providers (for example authentication, hosting, AI model providers, analytics, and payment processing).
7.2 We are not responsible for outages or errors caused by third-party providers.
7.3 Your use of third-party services is subject to their own terms and policies.

8. Disclaimers

8.1 THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW.
8.2 WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUT WILL ALWAYS BE ACCURATE, SAFE, OR FIT FOR A PARTICULAR PURPOSE.
8.3 You are solely responsible for reviewing and validating all generated outputs before publishing or relying on them.

9. Limitation of Liability

To the maximum extent permitted by law:
9.1 Klippio and its affiliates, officers, employees, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities.
9.2 Klippio's total aggregate liability for claims arising out of or related to the Services will not exceed the greater of (a) the amount you paid to Klippio in the 3 months before the event giving rise to liability, or (b) USD 100.

10. Indemnification

You agree to defend, indemnify, and hold harmless Klippio and its affiliates from and against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your Input, your use of the Services, or your violation of these Terms or applicable law.

11. Suspension and Termination

11.1 You may stop using the Services at any time.
11.2 We may suspend or terminate access immediately for security reasons, legal compliance, payment failure, abuse, or material breach of these Terms.
11.3 Sections that by nature should survive termination (including payment obligations, ownership, disclaimers, limitations, and indemnity) will survive.

12. Changes to Terms

We may update these Terms from time to time. If changes are material, we will post an updated date and may provide additional notice (such as email or in-app notice). Your continued use after the effective date of revised Terms means you accept the revised Terms.

13. Governing Law

These Terms are governed by applicable laws of the jurisdiction in which Klippio operates, without regard to conflict-of-law principles.
